What is a minority shareholder? What is corporate law founded upon? Tyranny or Benevolence of the Majority?

A minority shareholder is not an idiot Sir

Mr Chair Sir,

First, let me correct the misconception that the issues I raised are not a personal attack but issues of corporate governance. It is not the duty of the CEO of Dairibord (DZL) to respond to the questions asked by a minority shareholder, directed to the Board. By allowing your CEO to insult me as a shareholder (calling me an IDIOT) is a sign that the CEO has no respect for shareholders, you as board members and other stakeholders. The question that I ask is the CEO above the board, why is he commenting on issues raised by a shareholder? Is the board captured? Lets say the board has allowed Mr Mandiwanza to speak on behalf of the board, was subject matter dealt with?

If a stakeholder highlights irregularities in corporate governance with facts. Mr Chair Sir, are we saying minority shareholders have a right to be heard?

Mr Chair Sir, are you certain that the outgoing CEO is not protecting the entity/duty of care, his outrageous responses calling shareholders/stakeholders will definitely have a negatively impact on DZL a listed entity

The Board is tasked with Corporate governance. The errant CEO abuses stakeholders by defending the appointment of his sweetheart from FD to then CEO making a mockery of Corporate governance. By allowing their outgoing CEO to abuse stakeholders calling them idiots the Board neglects its function and opens itself to scrutiny or even litigation. Shareholder merely directed a response to the allegation of sour grapes to the CEO but otherwise addressed the Board. Responses by the CEO are of concern and are in contrast to the silence of the Board.

For the record, the love affair of Mercy Ndoro and Anthony Mandiwanza has been discussed in the court of law.

Mr Chairman Sir, for good order, the questions asked need to be responded to by those charged with governance i.e. Board and the CEO should desist from making a circus of DZL. Please can you ask your CEO to stop calling shareholder IDIOTS. I am not an idiot I just want the board to answer to the issues that I raised.
